Terms of Service

1. Acceptance of Terms

By accessing the website at PyBuilt.tech or entering into a service agreement with PyBuilt Technologies ("we," "us," or "our"), you agree to be bound by these terms of service, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws.

2. Engagement Models

We operate under two distinct engagement models. The specific model applies based on the agreement selected at the start of the project.

A. The SaaS Partnership (Subscription)

• Ownership: PyBuilt Technologies retains 100% intellectual property (IP) rights to all code, designs, and infrastructure created. The Client is granted a non-exclusive, non-transferable license to use the software while the subscription is active.
• Payment: Services are billed on a monthly subscription basis. Failure to pay result in immediate suspension of the software and VPS hosting.
• Termination: Upon cancellation, the Client loses access to the platform. Source code will not be released to the Client.

B. Custom Build (Project Based)

• Ownership: Upon full payment of the quoted project fee, IP rights and source code are transferred to the Client.
• Hosting: The Client is responsible for their own hosting costs unless a separate maintenance agreement is signed.

3. Payments & Refunds

All payments are processed securely via third-party processors.

• No Refunds: Due to the nature of digital development labor and server provisioning, all payments (subscription or one-time) are final and non-refundable.
• Late Payments: For subscription clients, a grace period of 3 days is provided before service interruption.

4. Managed Infrastructure (VPS)

For subscription clients, we provide managed Virtual Private Server (VPS) hosting. While we strive for 99.9% uptime, we rely on third-party cloud providers. We are not liable for downtime caused by upstream provider outages, force majeure, or necessary maintenance windows.

5. Acceptable Use

You may not use our software or services for:

• Sending unsolicited spam (SMS/Email) in violation of TCPA or CAN-SPAM acts.
• Illegal activities, fraud, or phishing.
• Hosting malicious code or viruses.

Violation of this section will result in immediate termination of service without refund.

6. Limitation of Liability

In no event shall PyBuilt Technologies or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use our software.

7. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of Romania and you irrevocably submit to the exclusive jurisdiction of the courts in that location.
